THESE OFFICIAL RULES SHALL SERVE TO AMEND THE TERMS AND CONDITIONS FOR THE PURPOSES OF THIS PROMOTION ONLY.

AGREEMENT
These Official Rules form a legally binding agreement between (1) IICD LLC, located at 8560 W Sunset Blvd Fl 9th. West Hollywood, CA 90069 ("Producer") and MySpace, Inc. located at 407 N. Maple Drive, Beverly Hills, CA 90210 ("MySpace" or "Administrator"); and (2) you ("Applicant").
OVERVIEW
Promoters (as defined in the Terms and Conditions) will select two (2) Finalist Applicants in any category chosen by Promoters from among all Submissions made for this Promotion between July 15th on 12:01am PST and August 13th, 2010 on 11:59pm PST (the "Promotion Period"). Then, the Finalist Applicants will be posted on www.myspace.com/ificandream for public voting to determine the Grand Prize winner based on the entertainment value and appeal of the Finalist Applicant's Submissions. The Grand Prize winner will travel to Hollywood and become part of the IF I CAN DREAM cast and live in the IF I CAN DREAM HOUSE and may be filmed as part of the IF I CAN DREAM show (the "Show"), if applicable.
SELECTION OF GRAND PRIZE WINNER
General: During the Promotion Period (as defined above), Applicants who make Submissions into this Promotion will be considered. All Submissions must comply with and are subject to the requirements, guidelines and conditions stated in the Terms and Conditions. Submissions which violate any of the requirements set forth in these Official Rules, the Terms and Conditions and/or on the Audition Website will be deemed void, at Promoters' sole discretion.
How to Make a Submission:
Visit the Audition Website during the Promotion Period by logging in to your MySpace profile. Upon visiting the Audition Website, you will be able to access a description of all the requirements, directions and Submission Criteria provided for each Talent Category as set forth on the Audition Website. To make a Submission, you must follow the directions provided in these Official Rules and in the Terms and Conditions (For more specificity, please see Paragraph 5 (Requirements) of the Terms and Conditions.) If you are not an existing member of MySpace, you will be required to complete the free registration by signing up at http://signups.myspace.com/index.cfm?fuseaction=signup and follow the directions. When you register your MySpace account, you will be required to agree to the MySpace Terms of Use, provided at: http://www.myspace.com/index.cfm?fuseaction=misc.terms and the MySpace Privacy Policy http://www.myspace.com/index.cfm?fuseaction=misc.privacy, both of which may be amended from time to time. Limit one (1) Submission per Applicant and per email address. In the event that an Applicant submits more than one (1) Submission, then Applicant will be permitted to set one (1) Submission as the default Submission for voting. If the Applicant does not set a default Submission, his/her Submission maybe disqualified. Applicants must provide all information requested to be eligible to participate. IMPORTANT NOTE: All Submissions must be made by August 13th, 2010 on 11:59pm PST to be considered for this Promotion. Submissions generated by script, macro or other automated means and Submissions by any means which subvert the participation process will be void.
I. Initial Voting For Fun: During the Promotion Period, the Audition Tool Users (as defined in the Terms and Conditions) will be invited to go to www.myspace.com/ificandream and vote on all eligible Submissions received by Promoters by selecting the "Vote For Me" Button for a particular Submission. IMPORTANT NOTE: VOTING DURING THE PROMOTION PERIOD IS FOR FUN ONLY AND WILL NOT BE CONSIDERED OR HAVE ANY BEARING IN THE DETERMINATION OF THE FINALIST APPLICANTS. Audition Tool Users may vote one (1) time per day throughout the Public Voting Period for any Applicant, but may not vote twice for any Applicant in one day. Subsequent votes from any Audition Tool User in excess of stated maximum number of votes per day by a single Audition Tool User will be void. Use of script, macro or any automated system to make a vote or with the intent to impair the integrity of the voting process is prohibited and all such votes will be void.
II. Determination of Finalist Applicants: All eligible Submissions entered into this Promotion during the Promotion Period will be viewed and evaluated by the Promoters to determine the two (2) Finalist Applicants, based on the entertainment value and appeal of the Submissions, subject to verification of eligibility and compliance with these Official Rules and the Terms and Conditions, as well as the execution by Finalist Applicants of all documents, releases, and agreements (including background check applications) as required by Producer. Finalist Applicants will be notified by telephone and/or email and must then give a postal address, to be used, if applicable, for the purpose of sending an overnight package containing a notification of potential Finalist Applicant status and other documents that may be required by Producer. Promoter shall have the right to use the Finalist Applicant's name, likeness, city and state of residence, photo, results and proceeds, and/or biographical data for advertising and promotion of this Promotion or any other purposes, without additional compensation, notification or permission, which rights shall be worldwide in perpetuity, in all media, now known or hereafter developed, unless prohibited by law.
III. Determination of the Grand Prize Winner: The Audition Tool Users (as defined in the Terms and Conditions) shall select the Grand Prize winner by voting for a Finalist Applicant's Submission between July 15th on 12:01am PST and August 13th, 2010 on 11:59pm PST (the "Winner Determination Voting Period"), which vote shall be based on the entertainment value and appeal of the Submissions of the Finalist Applicants. The Audition Tool Users shall vote by selecting the "Vote For Me" Button for a particular Finalist Applicant's Submission. Audition Tool Users may vote one (1) time per day throughout the Winner Determination Voting Period. Subsequent votes from any Audition Tool User in excess of stated daily maximum number of votes permitted by a single Audition Tool User will be void. Finalist Applicants are prohibited from obtaining votes by any fraudulent or inappropriate means, including, without limitation, offering prizes or other inducements to members of the public, as determined by Promoters in their sole discretion. Use of script, macro or any automated system to make a vote or with the intent to impair the integrity of the vote process is prohibited and all such votes will be void. Following the end of the Winner Determination Voting Period, the votes for each Submission will be tabulated. The Finalist Applicant whose Audition obtained the highest number of valid votes at the conclusion of the Winner Determination Voting Period shall be deemed the "Grand Prize winner", subject to verification of eligibility and compliance with these Official Rules and the Terms and Conditions, as well as the execution by Finalist Applicants of all documents, releases, and agreements (including background check applications) as required by Producer. In the event of a tie, a "tie-breaking" judge will determine the Grand Prize winner based on the judge's perception of the entertainment value and appeal of the Submission. The Grand Prize winner will be announced on August 24th, 2010 at www.myspace.com/ificandream.
GRAND PRIZE (1)
One (1) Grand Prize will be awarded, consisting of a trip to Los Angeles and the opportunity to become a part of the cast of IF I CAN DREAM. As a condition to accepting the Grand Prize, the Grand Prize winner shall be obligated to sign appropriate releases, agreements and any other documents required by Producer, and may, at Producer's discretion, be subject to a background check. The exact dates of the trip and exact details of casting will be determined by Producer in its sole discretion. Exact details of prize will be determined by Producer in its sole discretion. All federal, state and local taxes and any other costs and expenses associated with prize acceptance and use not mentioned herein as being provided are the responsibility of the Grand Prize winner. No prize substitution, cash substitution, or assignment or transfer of prize (or portion thereof) is permitted, except by Producer, which reserves the right to substitute the prize with one of comparable or greater value. All prize details are at Producer's sole discretion.
CONDITIONS OF ENTRY AND ELIGIBILITY
By participating in this Promotion, Applicants agree to abide by the terms of these Official Rules and the Terms and Conditions, as well as the decisions of Producer and Administrator, which shall be final. This Promotion is open to legal residents of the 50 United States and the District of Columbia who are of legal age of majority (and at least 18) at time of entry, except wherever prohibited or restricted by law.
Promotion is intended for play in the United States only and shall only be construed and evaluated according to United States law. Do not enter this Promotion if you are not a legal resident of the United States.
Each Applicant must have Internet access and the ability to record their Submission. Each Applicant must be the rightful owner of the e-mail address identified in the Applicant's Registered MySpace User account. Applicants may not be professional actors, singers, musicians or dancers, or members of SAG, AFTRA, AGVA, Equity, Musicians' Union or any other guild or union associated with the performing arts, nor may any Applicant have a recording contract from a major record label. In the event of a dispute as to the identity of any Applicant, at the sole discretion of the Producer, such dispute shall be resolved by Producer and such decision shall be final.
Employees, shareholders, officers, directors, agents, and representatives of Producer and Administrator, and each of their respective parent companies, affiliates, divisions, subsidiaries, agents, representatives, licensees, distributors, promotional partners, and advertising and promotion agencies (collectively, the "Audition Entities"), together, with the Household Members (defined below) and Immediate Family Members (defined below) of such persons, are not eligible to use the Audition Website and/or make any Submission. "Household Members" shall mean those people who share the same residence at least three months a year and "Immediate Family Members" shall mean parents, step-parents, legal guardians, children, step-children, siblings, step-siblings, or spouses and their respective spouses, regardless of where they reside. Submissions that are incomplete or corrupted are void and will not be considered. Any effort by an Applicant to misrepresent himself or herself through the use of aliases or multiple e-mail addresses will disqualify all Submissions of such individual. Producer and its agents reserve the right to verify eligibility qualifications of any Applicant. Failure to comply with these Official Rules and the Terms and Conditions may result in disqualification from the Promotion. This Promotion is subject to all applicable federal, state and local laws and regulations. Void where prohibited by law.
NOTIFICATION OF WINNER
Potential Grand Prize winner will be notified by telephone and/or email and must then give a postal address, to be used for the purpose of sending an overnight package containing a notification of potential Grand Prize winner status and other documents required by Producer. Except where prohibited, acceptance of prize constitutes Grand Prize winner's consent to use his/her name, likeness, city and state of residence, photo, results and proceeds, and/or biographical data for advertising and promotion or any other purposes, and for use in www.myspace.com/ificandream, the live 24/7 feed of IF I CAN DREAM, and any edited episodes (long and short form) of IF I CAN DREAM, without additional compensation, notification or permission, which rights shall be worldwide in perpetuity, in all media, now known or hereafter developed, unless prohibited by law.
Grand Prize winner will be required to sign and return to Producer certain documents, which may include a Release Agreement and any other documents and agreements required by Producer (and/or specified in the Terms and Conditions) prior to and as a condition of acceptance of prize, within twenty four (24) hours of time of receipt of notification or prize will be forfeited and Promoters will have no further obligation to such Grand Prize winner. Producer also reserves the right to conduct background checks on potential Grand Prize winner without notice or further consent. Potential Grand Prize winner understands that Producer reserves the right to disqualify the potential Grand Prize winner based on the results of his/her background check. Factors that would result in disqualification as a Grand Prize winner include, without limitation, having been charged with or found guilty of having committed a crime, being delinquent on any payment required by a governmental agency, regulatory authority or court, such as child support, spousal support, alimony, tax payments, etc. In the event the required documents are not complete and received by Producer within the time period required, in the event Producer cannot contact the potential Grand Prize winner within a reasonable time period, prize notification is returned as undeliverable, in the event potential Grand Prize winner does not produce favorable background check results, or in the event of non-compliance with these Official Rules or the Terms and Conditions, the prize will be forfeited.
MATERIALS/RIGHTS IN SUBMISSIONS/PUBLICITY RIGHTS
In consideration of a Submission being reviewed and evaluated, each Applicant irrevocably grants, transfers, sells, assigns and conveys to the Producer, and its successors and assigns, all present and future right, title and interest of every kind and nature whatsoever, including, without limitation, all copyrights, and all rights incidental, subsidiary, ancillary or allied thereto (including, without limitation, all derivative rights) in and to the Submission for exploitation for any purpose (whether in relation to the Show, promotion of the Show or www.myspace.com/ificandream, or otherwise) throughout the universe, in perpetuity, by means of any and all media and devices whether now known or hereafter devised, or any portion thereof, including to the extent applicable (a) any information, biographical data, and material submitted by Applicant in connection with the Submission; and (b) all graphics, statements, performances and quotations of or by Applicant and furnished by Applicant as part of the Submission (the "Material"). By providing a Submission, Applicant hereby grants permission for the Submission to be posted on the Audition Website and Hulu.com and www.ificandream.com (the "Show Website") or other Audition Entity websites as well as social network and other websites, and Applicant also agrees that the Submission may be incorporated as part of the Show, at Promoters' sole discretion. Applicant agrees that Audition Entities are not responsible for any unauthorized use of Submissions by third parties. Audition Entities do not guarantee the posting of any Submission. Producer shall have the right, in its sole discretion, to edit, composite, morph, scan, duplicate, or alter the Submission for any purpose, which Producer deems necessary or desirable, and each Applicant irrevocably waives any and all so-called moral rights he/she may have therein. Each Applicant hereby acknowledges that such Applicant does not reserve any rights in or to the Submission.
RIGHTS OF PROMOTERS/ DISCLAIMER OF LIABILITY
Promoters shall have the right and sole discretion to refuse to review any Submission which is or appears to be in violation of these Official Rules, the Terms and Conditions, or the requirements set forth on the Audition Website, does not fully comply with all of the Promoters' requirements in connection with any and all legal clearance issues, or which it finds in its sole discretion to be otherwise objectionable for any reason. Promoters reserve the right, in their sole discretion, to suspend or cancel participation in this Promotion at any time for any reason, including, without limitation, if a computer virus, bug, non-authorized intervention or other technical problem corrupts the administration, security, or proper conduct of the Promotion, strikes, lock-outs, acts of God, technical difficulties, and other events. In the event the Promotion (or portion thereof) is cancelled, Promoters reserve the right to select Applicant(s) from among all eligible Submissions made for this Promotion prior to such cancellation. Promoters reserve the right, at their sole discretion, to prohibit any Applicant from participating in this Promotion or to disqualify any individual it finds, in its sole determination, to be tampering with the submission process or the operation of the Promotion; to be attempting to undermine the legitimate operation of the Promotion by cheating, hacking, deception, or any other unfair playing practices; to be acting in violation of these Official Rules, the Terms and Conditions, and/or the MySpace.com Terms of Use; or to be acting in a disruptive manner, or with intent to annoy, abuse, threaten or harass any other person (and to void all associated Submissions). The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. The Promoters are not responsible for any Materials provided by Applicants which are deemed harmful or offensive to others or for any harm incurred as a result of the creation of any Submission. The Promoters make no warranties, express or implied, as to the content or the accuracy or reliability of any information or statements contained in any Submission. All statements and opinions made by Applicants are those of such Applicants only, and the Promoters neither endorse nor shall be held responsible for the reliability or accuracy of same. Promoters are not responsible for the content or practices of third party websites that may be linked to the Audition Website. This site may also be linked to websites operated by companies affiliated with Audition Entities. Visitors to those sites should refer to each site's separate terms of use, privacy policies and practices.
NATURE OF RELATIONSHIP/WAIVER OF EQUITABLE RELIEF
Each Applicant acknowledges that, with respect to any claim by Applicant relating to or arising out of an Audition Entities' actual or alleged exploitation or use of any Submission or other material submitted in connection with the Audition, the damage, if any, thereby caused to the applicable Applicant will not be irreparable or otherwise sufficient to entitle such Applicant to seek injunctive or other equitable relief or in any way enjoin the production, distribution, exhibition or other exploitation of the Submission, the Show, the Show Website, or the Audition Website, or any other production based on or allegedly based on the Submission, including, without limitation, the display of the Submission on the Show, the Show Website, or the Audition Website, and the Applicant's rights and remedies in any such event shall be strictly limited to the right to recover damages, if any, in an action at law.
WARRANTY
It is an express condition of Submission and eligibility that each Applicant warrants and represents that Applicant's Submission is solely owned by Applicant. Applicant further represents and warrants that the Submission and any use thereof by the Audition Entities in connection with programming, advertising, promotion and publicity, including the programming, advertising, promotion and publicity of the Show, the Audition Website and the Show Website, shall not infringe upon any statutory or common law copyright and shall not constitute a defamation, or invasion of the right of privacy or publicity, or infringement of any other right of any kind of any third party.
INDEMNITY
The Show and Promotion may also be promoted by a third party or parties designated by Promoters (each a "Promotional Partner," and collectively "Promotional Partners"). Applicant shall indemnify, defend and hold harmless the Audition Entities (including Promotional Partners) from and against any and all liability, claims, loss, damage, injury or expense, including reasonable attorneys' fees, arising out of or in connection with any third party action arising out of or resulting from Applicant's making of any Submission and/or participation in this Promotion and/or the Show.
GENERAL
This contract is made in the English language. By using this Audition Website and/or making any Submission, each Applicant agrees that the Audition Entities, including any Promotional Partners. shall be released and held harmless from: (i) late, lost, delayed, damaged, incomplete, illegible, garbled, stolen, unintelligible, misdirected or otherwise undeliverable Submissions, release forms, affidavits or other correspondence provided or intended to be provided by Applicant; (ii) telephone, electronic, mechanical, hardware or software program, network, Internet or computer malfunctions, failures, or difficulties of any kind affecting the recording, submission, review, display, or any person's ability to assess or vote on Applicant's Submission; (iii) any condition that may cause a Submission made or intended to be made by Applicant to be disrupted or corrupted; (iv) any printing, human, typographical or other errors or ambiguities in (or involving) any materials associated with such Submission or these Official Rules; (v) any and all losses, damages, rights, claims and actions of any kind in connection with or resulting from the making of any Submission and/or participation by the Applicant in the Show and/or the display, performance, broadcast or the making available of any such Submission and/or the inclusion of such Submission or the Applicant in the Show; and (vi) claims based on publicity rights, defamation or invasion of privacy resulting from or arising out of the Promoters' use of any Submission and/or the inclusion of any Applicant in the Show in accordance with these Official Rules. By participating, each Applicant also agrees that Audition Entities will not be responsible for any other errors or problems associated with the Submission, including, without limitation, any errors or problems in connection with the administration of the Audition Website, any Audition Sessions and/or Submissions, the determination of the Finalist Applicants or Grand Prize winner, the processing and voting on of Submissions, the incorrect uploading of any video, photo, or other component of a Submission, any problems or errors related to the MySpace Audition Tool, or any other Submission-related and/or Promotion-related materials. By using this Audition Website and/or making any Submission, Applicants agree: (i) to be bound by these Official Rules and the decisions of Promoters, which shall be final and binding; and (ii) to waive any right to claim ambiguity in any information provided by the Promoters in connection with use of the Website and/or the making of any Submission. By using this Audition Website and/or making any Submission, Applicants (and, if eligible minors, their parents or legal guardians) agree to release, indemnify, defend and hold harmless the Audition Entities from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, resulting from or arising out of the making of any Submission and/or participation in this Promotion or the acceptance, use or misuse of the prize (including any travel or activity related thereto). CAUTION: Any attempt to deliberately damage the Audition Website or any other website associated with the Show or undermine the legitimate operation of the Audition Website, any website associated with the Show and/or the Promotion is a violation of criminal and civil laws. Should such an attempt be made, the Promoters reserve the right to seek damages and other remedies to the fullest extent permitted by law and to disqualify such person from the Promotion and/or appearing on the Show and void all associated Submissions.
Applicant hereby knowingly and voluntarily waives the provisions of Section 1542 of the California Civil Code which provides as follows:
A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS SETTLEMENT WITH THE DEBTOR as well as any other statute, law, or rule of similar effect. Applicant (and, if an eligible minor, his/her parent or legal guardian) acknowledges and agrees that this waiver is an essential and material term of this Agreement and that, without such waiver, Producer would not have accepted this Agreement or Applicant's participation therein.
BY USING THIS AUDITION WEBSITE AND/OR MAKING ANY SUBMISSION, APPLICANT AGREES THAT, SAVE WITH RESPECT TO (A) FRAUD, AND/OR (B) DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, AND SUBJECT ALWAYS TO THE EXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH ANY SUBMISSION(S) AND/OR THESE OFFICIAL RULES, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (2) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED, (IF ANY), NOT TO EXCEED ONE THOUSAND DOLLARS ($1000.00) INCLUDING ANY APPLICABLE ATTORNEYS' FEES (IF ANY); AND (3) UNDER NO CIRCUMSTANCES WILL ANY APPLICANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND APPLICANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS, AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY, SO THE ABOVE MAY NOT APPLY TO APPLICANT.
GOVERNING LAW
All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of Applicants and the Audition Entities in connection with any Submission and/or these Official Rules, shall be governed by, and construed in accordance with, the laws of the State of California, without giving effect to any choice of law or conflict of law rules or provisions (whether of the State of California or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than the State of California.
Any dispute, claim or controversy arising out of or relating to these Official Rules or the breach, termination, enforcement, interpretation or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in Los Angeles County, California, before one (1) arbitrator. The arbitration shall be initiated and conducted according to either the JAMS Streamlined (for claims under $250,000) or the JAMS Comprehensive (for claims over $250,000) Arbitration Rules and Procedures at the Los Angeles office of JAMS including the Optional Appeals Procedure. The arbitrator shall be a disinterested attorney or retired judge experienced in entertainment matters. Such arbitration shall include discovery proceedings as provided under Section 1283.05 of the California Code of Civil Procedure. Judgment on any award may be entered in any court of competent jurisdiction. The Parties hereto consent to the jurisdiction of the Superior Court of the State of California, Central Judicial District, for purposes of enforcing this arbitration agreement and proceedings and entry of judgment on any award and further consent that any process or notice of motion or other application to the Court or the judge thereof may be served by certified or registered mail, return receipt requested. The prevailing party shall be awarded costs and reasonable attorneys' fees associated with the arbitration.
The arbitration will be conducted in private, and will not be open to the public or the media. No matter relating to the arbitration, including, without limitation, the nature of the dispute, testimony, evidence or result may be made public, reported to any news agency or publisher or disclosed to party not involved in the arbitration. Since a public hearing or arbitration arising hereunder might cause disclosure of confidential information contrary to the intent of the parties, the parties hereby stipulate that, in the event there is litigation or arbitration arising out of these Official Rules, all Proprietary Information or other confidential information, including the terms and conditions of these Official Rules, shall be filed under seal and the court or the arbitrator(s) may issue a protective order restricting the disclosure and limiting the use of such information to any such proceedings.
PRIVACY POLICY
Any and all personal information supplied by any Applicant and/or collected by means of the Audition Website may be used by: (1) Producer, for purposes of promoting and operating the Show and its business (and for such other purposes as are specified in, and in accordance with, its Privacy Policy, located at http://www.ificandream.com/privacy.html, as modified from time to time; and (2) MySpace, in accordance with its Privacy Policy posted at http://www.myspace.com/index.cfm?fuseaction=misc.privacy which may be modified from time to time, for the purposes of the administration of this Audition Website, Auditions and Submissions only. Promoters will not sell, rent, transfer or disclose Applicant's Personally Identifiable Information to any third party other than as described above and/or in their respective Privacy Policies.
