THE POTENTIAL WINNER MAY BE CONTACTED VIA MESSAGING TO THE EMAIL ASSOCIATED WITH THEIR MYSPACE ACCOUNT. IT IS THE SOLE RESPONSIBILITY OF THE ENTRANT TO ENSURE THAT INFORMATION ASSOCIATED WITH THE MYSPACE ACCOUNT USED FOR THE SWEEPSTAKES IS CURRENT AND ACCURATE.  

1. DESCRIPTION: The "Expendables Red Carpet Premiere” Sweepstakes ("Sweepstakes") begins on July 2, 2010 at 12:01 PM Pacific Time (“PT”) and ends on July 29, 2010 at 11:59 AM PT ("Sweepstakes Period").  You must be a registered MySpace user (“Registered User”) in order to participate in the Sweepstakes or win a prize.  Registration on MySpace is free, and can be obtained by logging on to www.myspace.com and following the onscreen instructions to open an account.  The administrator of this Sweepstakes is Creative Zing Promotion Group, 100 E. Pine Street, Suite 201, Orlando, Florida 32801 ("Administrator").  The sponsor of this Sweepstakes is MySpace, Inc., 407 North Maple Drive, Beverly Hills, CA  90210 (“MySpace” or “Sponsor”). 

2. ELIGIBILITY: Sweepstakes is open to legal residents of the forty-eight (48) contiguous United States and Washington, D.C. who are at least 18 years of age or the age of legal majority (whichever is older) in their state of primary residence at time of entry (“Entrant”).  ENTRANT, IF DECLARED A WINNER, MUST BE AVAILABLE TO TRAVEL BETWEEN 8/10/10 – 8/12/10, 2010 AND MUST HAVE ALL THE NECESSARY TRAVEL DOCUMENTS AND IDENTIFICATION. Entrants must have Internet access or otherwise have an ability to access the Internet as of July 1, 2010.  All entrants must be Registered Users in compliance with MySpace’s Terms & Conditions policy located at http://www.myspace.com/index.cfm?fuseaction=misc.terms which may be modified from time to time.  Any individuals (including but not limited to employees, independent contractors, consultants and interns) who have, within the last six (6) months, been employed by or performed services for Sponsor, Administrator, Lions Gate Entertainment Inc. (“Lions Gate” and, collectively, with Sponsor and Administrator, the  "Sweepstakes Entities") or any organizations affiliated with the sponsorship, administration, prize support, fulfillment, advertisement or promotion of the Sweepstakes are not eligible to enter or win. Household Members and Immediate Family Members of each such individuals are also not eligible to enter or win.  For purposes of the Sweepstakes, "Household Members" shall mean those people who share the same residence at least three months a year and "Immediate Family Members" shall mean parents, step-parents, legal guardians, children, step-children, siblings, step-siblings, or spouses.  Void in Alaska, Hawaii and where prohibited or restricted by law. 

3.  HOW TO ENTER:  Entrants must log onto their MySpace profile; then visit the “Opening Weekend of Lions Gate’s Expendables” web site at http://events.myspace.com/Event/View/5604834 ("Website") during the Sweepstakes Period and RSVP your intention to attend opening weekend of the Expendables and you will receive one (1) entry into the Sweepstakes.  You do not have to attend opening weekend of the Expendables to be eligible to enter the Sweepstakes.  You must RSVP by July 29, 2010 at 11:59 AM PT to be eligible for the Sweepstakes.  Limit of one (1) entry per person for the duration of the Sweepstakes.  Multiple entries received from any unique profile or person during the Sweepstakes Period will be void.  Entries generated by a macro, script or other automated means will be disqualified. Each entrant must be the rightful owner (or have authorized use) of the MySpace account utilized in the Sweepstakes.  In the event of a dispute as to the identity of any entrant or winner, at the sole discretion of the Sweepstakes Entities, the entrant or winner will be deemed to be the person in whose name the MySpace account was opened. Incomplete, unreadable, or unintelligible entries will be disqualified. Entrants must provide all information requested to be eligible to win. 

4. PRIZE:  

Total Promotional Value: $5,000

All prize details are at the sole discretion of the Sweepstakes Entities. Winner cannot assign or transfer the prize to another person. The value of the prize represents Sweepstakes Entities good faith determination of the maximum retail value thereof. No refunds or credit for changes are allowed. The ARV of any prize is subject to price fluctuations in the consumer marketplace based on, among other things, any gap in time between the date the ARV is estimated for purposes of these Official Rules and the date the prize is awarded or redeemed. Limit one (1) prize per household. If prize is awarded but goes unclaimed or is forfeited by recipient, the prize may not be re-awarded, in Sweepstakes Entities’ sole discretion.   Other restrictions may apply.  

Actual value of prize will depend on point of departure, any airfare fluctuations and seasonal pricing; winner will not receive cash or any other form of compensation if actual travel costs are less than the prize ARV in these Official Rules. Winner and guest (“Guest”) must travel together on same itinerary for the trip.   Guest must be at least 18 years of age and must complete a Travel Companion Release, as requested by the Sweepstakes Entities. Winner and Guest agree that they undertake the Trip at their own risk. Airline/airfare for Prize to be selected by Sweepstakes Entities in their sole discretion. Airline carrier’s regulations and conditions apply. All air transportation tickets are subject to the vagaries of flight variation, work stoppages and schedule or route changes.  If the Winner lives within 200 miles of Las Vegas, NV, the Sweepstakes Entities reserve the right to substitute ground transportation for the airfare.  Trip is subject to air travel/hotel availability and other restrictions/conditions. Once trip has been booked, no changes, extensions or substitutions are permitted, except at Sweepstakes Entities sole discretion.  If Winner elects to travel for fewer days, no additional compensation will be awarded. Sweepstakes Entities will not replace any lost or stolen tickets or travel vouchers. Winner is solely responsible for all incidentals, including, but not limited to, ground transportation, meals, beverages, gratuities, phone calls, insurance, taxes, and any other expenses not specifically mentioned as being included.  Once travel commences, no unscheduled stopovers are permitted; if an unscheduled stopover occurs, full airfare will be charged to the winner from stopover point for the remaining segments, including return, of the trip.  Sweepstakes Entities are not liable for any expenses incurred as a consequence of flight cancellation/delay.  Trip may not be combined with any other offer and travel may not qualify for frequent flyer miles.  

The Expendables premiere in Las Vegas, NV is currently anticipated to be held on August 11, 2010.  If the Winner is unable to participate in the prize trip during the dates chosen by Sponsor and/or Lions Gate, the prize will be forfeited in its entirety. Nothing set forth herein shall be construed to require Lions Gate to hold a premiere of the movie at any particular time, or at all.  In the event that the movie premiere listed in the prize description does not or cannot take place as scheduled or at all, for reasons included but not limited to scheduling conflicts, cancellations, postponement, or for any other reason, then assuming the Winner is willing and able to travel on the dates chosen by Sponsor and/or Lions Gate, Sponsor and/or Lions Gate shall awarding the remaining components of the prize which shall constitute full satisfaction of Sponsor’s and Lions Gate’s prize obligation to the Winner, and no other or additional compensation will be awarded.  Excepting the preceding sentence, no cash alternative or prize substitutions will be allowed, except Sponsor and Lions Gate reserve the right to substitute prize(s) of comparable value if the prize listed is unavailable for any reason.

5.  ODDS OF WINNING:  Odds of winning depend on the number of eligible entries received.

6. WINNER SELECTION AND NOTIFICATION:  Winner will be selected via a random drawing conducted by the Administrator from all eligible entries received on or about July 30, 2010 (the “Drawing Date”).  Winner will be notified by email and via his/her MySpace profile, at the sole discretion of Sweepstakes Entities, within approximately two (2) days of the aforementioned Drawing Date. Selected winner will be required to respond (as directed by the Sweepstakes Entities) to the notification within twenty-four (24) hours (or a shorter time if required by exigencies) of first attempted notification. The failure to respond timely to the notification may result in forfeiture of the prize and the Administrator will randomly select an alternate winner from among the remaining eligible entries for that prize. Winner may be required to verify address and return within three (3) days (or a shorter time if required by exigencies) an affidavit of eligibility, a liability release, and, unless prohibited by law, a publicity release (collectively, the “Prize Claim Documents”) covering eligibility, liability, advertising, publicity and media appearance issues. Failure to return the Prize Claim Documents within the specified time period may result in forfeiture of the prize and selection of an alternate winner from the remaining eligible entries for that prize. Sweepstakes Entities, in their sole discretion, will attempt to contact up to three (3) potential winners of a prize in accordance with the above procedure, after which the prize in question may go unawarded if it remains unclaimed.  A prize will not be awarded until all such properly executed Prize Claim Documents are returned.  Winner must provide Sweepstakes Entities with a valid social security number for tax reporting purposes before the prize will be awarded.  An IRS Form 1099 will be issued in the name of the Winner for the actual value of the prize.

7.  INDEMNITY: The Sweepstakes may also be promoted by a third party or parties (each a “Promotional Partner,” and collectively “Promotional Partners”).  Entrant shall indemnify, defend and hold harmless the Sweepstakes Entities, any Promotional Partners, and each of their respective parents, affiliates, successors, assigns and licensees, and each of their respective employees, shareholders, officers, directors, contractors, agents and representatives (collectively, the “Released Parties”) from and against any and all liability, claims, loss, damage, injury or expense, including reasonable attorneys’ fees, arising out of or in connection with any third party action arising out of or resulting from (i) Entrant’s participation in the Sweepstakes, (ii) a breach or allegation which if true would constitute a breach of any of Entrant’s representations, warranties or obligations herein, and/or (iii) acceptance, possession, use or misuse of any grant or prize, including, without limitation, personal injury, death and property damage arising there from.

8.  GENERAL TERMS AND CONDITIONS:  By participating, each Entrant agrees that the Sweepstakes Entities and each of their respective agents, representatives, parent companies, affiliates, subsidiaries and legal advisors, and each of their respective employees, shareholders, officers, and directors are not responsible or liable for, and shall be released and held harmless from: (i) late, lost, delayed, damaged, incomplete, illegible, unintelligible, misdirected or otherwise undeliverable mail, postage-due  notices, release forms, affidavits or other correspondence; (ii) telephone, electronic, hardware or software program, network, Internet or computer malfunctions, failures, or difficulties of any kind; (iii) any condition caused by events beyond the control of the Sweepstakes Entities that may cause the Sweepstakes to be disrupted or corrupted; (iv) any printing, human, typographical or other errors or ambiguities in (or involving) any materials associated with the Sweepstakes; (v) any and all losses, damages, rights, claims and action of any kind in connection with or resulting from participation in the Sweepstakes; (vi) acceptance, possession,  use or misuse of any prize, including, without limitation, personal injury, death and property damage arising there from; and (vii) claims based on publicity rights, defamation or invasion of privacy.  By participating in the Sweepstakes, Entrants agree: (i) to be bound by these complete Official Rules and the decisions of Sweepstakes Entities which shall be final and binding; and (ii) to waive any right to claim ambiguity in the Sweepstakes or these Official Rules. By participating in the Sweepstakes and/or the receipt of any prize, entrants agree to release, indemnify, defend and hold harmless Sweepstakes Entities, any Promotional Partners (as defined below), and each of their respective parents, affiliates, successors, assigns and licensees, and each of their respective employees, shareholders, officers, directors, contractors, agents and representatives (the “Released Parties”) from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in the Sweepstakes, or receipt or use or misuse of any prize. 

Sweepstakes Entities reserve the right, in their sole discretion, to adjust times and dates reflected in the Description Section of the Official Rules at any time and/or to suspend or cancel the Sweepstakes at any time for any reason, including, without limitation, if a computer virus, bug or other technical problem corrupts the administration, security, or proper conduct of the Sweepstakes, strikes, lock-outs, acts of God, technical difficulties, and other events not within the reasonable control of Sweepstakes Entities. If the Sweepstakes is terminated before the designated end date, Sponsor will (if possible) select the winners from all eligible, non-suspect Submissions received as of the date of the event giving rise to termination.  Sweepstakes Entities reserve the right, at their sole discretion, to prohibit any Entrant from participating in the Sweepstakes or to disqualify any individual it finds, in its sole determination, to be tampering with the entry process or the operation of the Sweepstakes; to be attempting to undermine the legitimate operation of the Sweepstakes by cheating, hacking, deception, or any other unfair playing practices; to be acting in violation of the Official Rules; or to be acting in a disruptive manner, or with intent to annoy, abuse, threaten or harass any other person.  Sweepstakes Entities may suspend or discontinue the Sweepstakes if, in their sole opinion, there is any actual or suspected tampering of the Sweepstakes, or any other malfunction, event or activity that may affect the integrity of the Sweepstakes.  SWEEPSTAKES ENTITIES SHALL NOT BE OBLIGATED TO AWARD ANY PRIZE THAT RELATES TO OR ARISES OUT OF IMPROPER OR MISTAKEN PRIZE NOTIFICATION, OPERATION OR FUNCTION OF THIS SWEEPSTAKES. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision.  In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.

BY ENTERING THE SWEEPSTAKES, ENTRANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE SWEEPSTAKES, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (2) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED, (IF ANY), NOT TO EXCEED TWO HUNDRED FIFTY DOLLARS ($250.00), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; AND 3) UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND ENTRANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS, AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED.  SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY, SO THE ABOVE MAY NOT APPLY TO YOU. 

9.  GOVERNING LAW:  All issues and questions concerning the construction, validity, interpretation and enforceability of the Sweepstakes, or the rights and obligations of Entrants and the Sweepstakes Entities in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of California, without giving effect to any choice of law or conflict of law rules or provisions (whether of the State of California or any other jurisdiction) that would cause the application of the laws of any  jurisdiction other than the State of California. In the event of a claim or dispute, Entrants’ sole remedy shall be limited to their remedy at law for damages, if any, and Entrants shall not have the right to in any way enjoin or restrain the distribution, advertising, publicizing or other exploitation (in any form of media) of the Website, the Sweepstakes, and/or any intellectual property owned or licensed by the Sweepstakes Entities or their respective parent companies and affiliated entities..

10.  PRIVACY POLICY:  Any personal information supplied by Entrant to MySpace will be subject to MySpace’s privacy policy posted at http://www.myspace.com/index.cfm?fuseaction=misc.privacy, which may be modified from time to time. By entering the Sweepstakes, Entrant grants MySpace permission to share Entrant’s email address and any other personally identifiable information with the corresponding Sweepstakes Entities solely for the purpose of Sweepstakes administration, judging and prize fulfillment.  MySpace will not sell, rent, transfer or otherwise disclose your personal data to any third party other than the corresponding Sweepstakes Entities as described above herein.
